All customers, factory owners, and users of EasyQck Textile must take note of the following non-negotiable legal rights reserved by the company: EasyQck Textile એપ્લિકેશનનો ઉપયોગ કરતા તમામ ગ્રાહકો, ફેક્ટરી માલિકો અને યુઝર્સે નીચે મુજબના કંપનીના કાનૂની હક્કોની સ્પષ્ટ નોંધ લેવી:
Absolute Right to Modify or Discontinue Any Function at Any Time કોઈ પણ ફંક્શન ગમે ત્યારે બંધ કરવાનો સંપૂર્ણ અધિકાર કંપની પાસે છે
The Company reserves the sole, unilateral, and unchallengeable authority to modify, suspend, disable, or discontinue any function, tool, calculation method, or service in the application at any time without prior notice or financial liability. કંપની પાસે પૂર્ણ અને એકહથ્થુ સત્તા છે કે તે એપ્લિકેશનનું કોઈપણ ફંક્શન, ટૂલ, સુવિધા કે સર્વિસ ગમે ત્યારે, કોઈપણ પૂર્વ નોટિસ કે કારણ આપ્યા વગર અસ્થાયી કે કાયમી ધોરણે બંધ (Disable/Discontinue) કરી શકે છે. આ બાબતે કંપની સામે કોઈ વળતર કે દાવો થઈ શકશે નહીં.
Permission to Change Product Rates & Subscription Pricing at Any Time કોઈ પણ પ્રોડક્ટ કે સેવાના રેટ (ભાવ) ગમે ત્યારે બદલવાની પરવાનગી કંપની પાસે છે
The Company holds full permission to revise, increase, reduce, or adjust product rates, subscription fees, feature licensing costs, and service charges at its sole discretion at any time. કંપની કોઈપણ પ્રોડક્ટ, સોફ્ટવેર સબ્સ્ક્રિપ્શન પ્લાન, મોડ્યુલ ચાર્જ કે સર્વિસ રેટમાં પોતાની મરજી મુજબ ગમે ત્યારે ફેરફાર (વધારો કે ઘટાડો) કરી શકે છે. નવા રેટ એપ્લિકેશન કે વેબસાઇટ પર જાહેર થતાંની સાથે જ અમલમાં આવશે.
Right to Alter Product Processes & Hide Features from View પ્રોડક્ટ પ્રોસેસમાં વધારો-ઘટાડો કરવાનો અને ફંક્શન હાઇડ (Hide) કરવાનો કંપનીનો હક્ક
The Company reserves the absolute right to add, reduce, reorder, or modify any product process, workflow, job-card step, or calculation formula, as well as hide (mask) any feature or module from view at any time. કોઈપણ પ્રોડક્ટની પ્રોસેસ (પ્રક્રિયા), સ્ટેપ્સ, વર્કફ્લો, જોબ કાર્ડ વિગતો કે કેલ્ક્યુલેશન ફોર્મ્યુલામાં ગમે ત્યારે વધારો કે ઘટાડો કરવાની તેમજ કોઈપણ ફંક્શન કે મોડ્યુલને એપ્લિકેશનમાંથી હાઇડ (Hide/અદ્રશ્ય) કરવાનો કંપની પાસે પૂર્ણ અબાધિત અધિકાર રહેશે.
1. Overview & Acceptance of Agreement
Contractual Scope and User Consent સામાન્ય પરિચય અને કરારની સ્વીકૃતિ
This Terms and Conditions Agreement ("Agreement") is executed and entered into by and between EasyQck Textile (hereinafter referred to as "Company", "we", "us", or "our") and any individual, entity, proprietor, textile manufacturer, or embroidery job-worker (hereinafter referred to as "User", "you", or "your") who accesses, registers with, downloads, or utilizes the EasyQck Textile mobile applications (Android / iOS) and cloud portal located at or associated with EasyQck Textile.
By downloading, installing, registering, or continuing to browse and use EasyQck Textile, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement in full. If you do not accept or agree with any provision set forth herein, you must immediately cease all access, uninstall the mobile application, and discontinue usage.
આ કરાર કંપની અને ગ્રાહક વચ્ચે કાનૂની બંધનકર્તા છે. એપ્લિકેશનનો ઉપયોગ શરૂ કરતાની સાથે જ તમે આ તમામ શરતો સ્વીકારો છો.
2. Eligibility & Account Security
Registration Authenticity and Password Protection એકાઉન્ટ યોગ્યતા, લોગિન સુરક્ષા અને જવાબદારી
To use EasyQck Textile, you must be at least 18 years of age and legally competent to enter into enforceable contracts under the Indian Contract Act, 1872. If you are registering on behalf of a company, textile mill, proprietorship, or partnership firm, you represent that you hold valid authorized power of attorney to bind such entity.
- Accurate Registration: You agree to provide true, current, and complete information, including company legal name, mobile phone number, valid GSTIN (if applicable), and operational address.
- Credential Confidentiality: You are solely responsible for safeguarding your login credentials, OTPs, and passwords. Any activity originating from your registered account or authorized devices shall be deemed authorized by you.
- One Device / Single Session Control: Company reserves the right to restrict concurrent logins across multiple devices unless a multi-license enterprise subscription is active.
- Unauthorized Access: You agree to notify Company immediately of any unauthorized breach or compromised security. Company shall not be liable for losses arising from your failure to protect credentials.
3. Absolute Right to Discontinue, Modify or Suspend Functions
Sole Discretion of Company to Terminate or Alter Any Application Feature કોઈ પણ ફંક્શન ગમે ત્યારે બંધ કરવાનો અધિકાર કંપનીના હાથમાં છે
Exclusive Company Discretion: EasyQck Textile explicitly reserves the unilateral and unchallengeable right, at its sole discretion, to modify, update, reconfigure, deprecate, suspend, interrupt, restrict, or completely discontinue any feature, function, calculation tool, reporting screen, communication module, or service offering in the app, whether wholly or in part, at any time, for any reason or without assigning any reason, with or without prior notice.
- No Right to Perpetual Functions: The inclusion of a specific feature, tool, or automation at the time of your registration or subscription does not guarantee its perpetual availability.
- Operational Upgrades & Technical Changes: Functions may be retired, upgraded, merged, or eliminated due to operating system updates, server security enhancements, technical feasibility, or strategic company decisions.
- Zero Liability: The Company shall in no event be held liable, financially or legally, for any business disruption, loss of convenience, perceived inconvenience, or third-party claims resulting from the suspension or termination of any function or tool.
4. Right to Change Product Rates, Plans & Subscription Charges
Company Authority to Revise Pricing and Service Tariffs at Any Time કોઈ પણ પ્રોડક્ટનો રેટ ગમે ત્યારે બદલવાની પરવાનગી કંપની પાસે છે
Price Revision Authority: EasyQck Textile maintains full, absolute, and unconditional permission to revise, increase, discount, alter, or restructure the rates, subscription pricing, per-machine charges, cloud storage tariffs, in-app purchase costs, and renewal fees for any and all products and services offered.
- Discretionary Rate Changes: Company may alter rates at any time due to market conditions, infrastructure inflation, feature enhancements, or business policies without requiring prior consent from users.
- Notice of New Rates: Updated pricing schedules will be posted on the app, website, or communicated via notification. Continued use after the effective date of price adjustments constitutes explicit acceptance of revised charges.
- Grandfathering Not Guaranteed: Old rates or promotional introductory discounts are valid only for the initial agreed period and are not guaranteed to continue upon renewal.
5. Right to Alter Product Processes & Hide Features
Right to Increase/Decrease Process Steps and Mask Function Visibility પ્રોડક્ટ પ્રોસેસમાં વધારો-ઘટાડો અને ફંક્શન હાઇડ (Hide) કરવાનો કંપનીનો હક્ક
Process Customization & Feature Hiding: The Company reserves the full, unrestricted right to:
- Increase or Decrease Product Steps: Add new mandatory or optional verification steps, eliminate existing steps, adjust production workflows (such as yarn allocation, design punch verification, lot sequencing, or dispatch approval), and restructure textile process steps at any point.
- Hide Functions (ફંક્શન હાઇડ કરવું): The Company may selectively or universally hide (mask, make invisible, or restrict visibility of) any button, module, feature, calculation field, data column, or navigation tab from user view or role-based access.
- Experimental & Beta Features: Company may introduce, hide, alter, or remove experimental workflows without obligation to maintain backward process compatibility.
6. Textile Calculations, Yarn Metrics & Cost Estimations
Estimation Nature, Machine Physical Variances, and User Sampling Responsibility યાર્ન મીટર, સ્ટીચ કાઉન્ટ અને કોસ્ટિંગ અંદાજ બાબતે સ્પષ્ટતા
EasyQck Textile provides mathematical estimators, stitch-to-yarn meter converters, denier formulations, and cost quotation generators designed to assist textile businesses.
- Estimation Nature: All yarn consumption figures, stitch estimations, production estimates, and price quotations are mathematical estimates based on user-provided inputs and theoretical constants.
- Physical Variances: Actual factory output may vary based on machine age, mechanical tension, needle wear, operator skill, yarn shrinkage, thread breaking, humidity, and fabric thickness.
- User Verification: You are strictly advised to verify estimates with physical test samples before accepting bulk commercial contracts. Company shall not be liable for textile raw material deficits, miscalculations by factory staff, or inaccurate buyer quotes.
7. Payments, Taxes & Strict No-Refund Policy
Billing Rules, Invoicing, GST, and Non-Refundable Nature સબ્સ્ક્રિપ્શન પેમેન્ટ, જીએસટી અને નો-રીફંડ પોલિસી
Users agree to pay all applicable fees, subscription charges, and licensing fees in advance through approved payment gateways, bank transfers, or official company channels.
- No Pro-Rata Refunds: No pro-rata refunds will be provided for early cancellations, non-usage of the software, account deactivation, or temporary downtime.
- Applicable Taxes: Goods and Services Tax (GST) will be charged in addition to listed rates as per applicable statutory government rates.
- Overdue Payments: Failure to renew subscriptions on time may result in instant suspension or read-only restriction of your account.
8. Acceptable Use Policy & Prohibited Conduct
Prohibitions Against Reverse-Engineering, Reselling, and Abuse માન્ય ઉપયોગ અને પ્રતિબંધિત પ્રવૃત્તિઓ
By accessing EasyQck Textile, you agree strictly that you will NOT:
- Reverse-engineer, decompile, disassemble, crack, scrape, or extract the source code, database architecture, or proprietary algorithms of the app.
- Resell, sublicense, lease, rent, or distribute access to EasyQck Textile to external third parties without prior written authorization.
- Upload files containing malicious worms, viruses, corrupted APKs, ransomware, or scripts intended to disrupt server operations.
- Use the platform for any fraudulent financial entries, fake billing generation, tax evasion schemes, or unlawful trade practices.
- Attempt unauthorized penetration testing, vulnerability scanning, or load testing on our cloud infrastructure.
9. Confidentiality, Textile Designs & Data Privacy
Protection of .DST Embroidery Punch Files and Commercial Ledgers ડિઝાઇન .DST ફાઇલ્સ અને બિઝનેસ ડેટા સુરક્ષા
We understand that embroidery design punch files (.DST, .PES), party lists, yarn consumption metrics, and pricing structures represent proprietary trade secrets of your textile business.
- Ownership of User Data: You retain ownership of the commercial business data, designs, and customer catalogs uploaded to your account.
- Cloud Security Measures: We employ industry-standard cloud encryption, secure HTTPS protocols, and protected database servers to safeguard your data.
- Limited Service License: You grant Company the non-exclusive technical license to host, store, index, back up, and transmit your data solely for providing you application functionality.
- No Unauthorized Sale of Data: Company does not sell, rent, or trade your private customer catalogs or business financial records to competitive third-party manufacturers.
10. Service Availability, Maintenance & Downtime
Server Upgrades, Network Availability, and Offline Backup Advise ક્લાઉડ સર્વર મેન્ટેનન્સ અને ડાઉનટાઇમ બાબતે
While Company employs commercially reasonable efforts to ensure continuous, 24/7 availability of EasyQck Textile, uninterrupted service cannot be guaranteed.
- Scheduled Maintenance: Server upgrades, security patches, bug fixes, and feature deployments may require periodic maintenance windows during which services may be temporarily unavailable.
- Unforeseen Network Outages: Company shall not be held liable for disruptions caused by cloud data center outages, telecommunications failures, internet routing delays, or power blackouts.
- Data Backup Recommendation: While daily automated cloud backups are maintained, Users are advised to periodically export their critical reports and invoices in Excel or PDF formats for offline retention.
11. Account Suspension, Deactivation & Termination
Administrative Rights to Suspend, Restrict, or Terminate Access એકાઉન્ટ બ્લોક અને સસ્પેન્ડ કરવાનો કંપનીનો અધિકાર
The administration of EasyQck Textile reserves the right to immediately suspend, block, deactivate, or permanently terminate user accounts under the following circumstances:
- Breach of any term, condition, or policy specified in this Agreement.
- Non-payment or prolonged default of subscription renewals and service invoices.
- Suspicious activity, account credential sharing across unauthorized parties, or fraudulent usage.
- Requests from law enforcement authorities, court orders, or statutory regulatory bodies.
12. Intellectual Property & Proprietary Rights
Software Copyright, Brand Protection, and Limited License સોફ્ટવેર કોપીરાઇટ, બ્રાન્ડ અને ટ્રેડમાર્ક
The software, source code, user interfaces, visual design, graphic assets, icons, database schemes, textile estimation algorithms, and the "EasyQck Textile" brand name, logo, and trademarks are the exclusive proprietary intellectual property of EasyQck Textile and its licensors.
Nothing in this Agreement grants you any ownership rights or title in the software. You are granted solely a revocable, non-exclusive, non-transferable, limited license to access and use the app during the term of your active paid subscription.
13. Third-Party Integrations, APIs & Payment Gateways
Gateways, Cloud APIs, and External Service Providers બાહ્ય API સેવાઓ, WhatsApp અને પેમેન્ટ ગેટવે
EasyQck Textile may integrate with third-party service providers, including payment gateways (e.g., Razorpay, PayU), SMS gateways, cloud storage providers, and WhatsApp Business APIs for sending automated alerts or invoices.
- Company does not govern or control the third-party providers' internal systems or network reliability.
- Company shall not be responsible for transaction processing failures, banking OTP delivery delays, or WhatsApp policy changes restricting bulk messaging.
14. Disclaimer of Warranties & Limitation of Liability

Provided "AS-IS" and "AS-AVAILABLE"
THE SITE, APPLICATIONS, AND SERVICES ARE PROVIDED STRICTLY "AS-IS", "WITH ALL FAULTS", AND "AS-AVAILABLE". THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR TEXTILE PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CALCULATED PRODUCTION DATA.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL EASYQCK TEXTILE, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS DISRUPTION, YARN LOSS, FABRIC DAMAGE, LOSS OF DESIGN FILES, OR THIRD-PARTY CLAIMS.
IN ANY EVENT, THE MAXIMUM AGGREGATE LIABILITY OF THE COMPANY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO EASYQCK TEXTILE FOR SOFTWARE ACCESS IN THE PRECEDING ONE (1) MONTH.
15. Governing Law, Dispute Resolution & Jurisdiction
Applicable Substantive Laws and Exclusive Surat Court Forum કાયદાકીય શાસન અને સુરત અદાલતી અધિકારક્ષેત્ર
This Agreement and any dispute or controversy arising out of or in connection with EasyQck Textile shall be governed by, construed, and enforced in accordance with the substantive laws of India, without regard to conflict of law principles.
Exclusive Jurisdiction: You irrevocably agree that any legal suit, action, or proceeding arising out of or related to this Agreement or the use of EasyQck Textile shall be instituted exclusively in the competent courts located in Surat, Gujarat, India. You hereby waive any objection to the venue or personal jurisdiction of such courts.
કોઈપણ પ્રકારના કાનૂની વિવાદ કે મતભેદ માટેનું અધિકારક્ષેત્ર માત્ર સુરત (ગુજરાત, ભારત) અદાલત રહેશે.
